These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and SocraticHQ ("Company," "we," "us," or "our"), the operator of DispensaryExam, located at dispensaryexam.com.
By accessing or using the DispensaryExam platform, creating an account, or clicking "I agree" during onboarding, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are using the platform on behalf of an organization — such as a cannabis dispensary — you represent that you have authority to bind that organization to these Terms, and "you" in these Terms refers to both you individually and the organization.
DispensaryExam provides an AI-powered compliance examination platform designed to help cannabis dispensaries train and assess employee knowledge of applicable regulations. The platform includes:
The platform is operated using Anthropic's Claude AI. Your use of the platform is also subject to Anthropic's terms of service.

The regulatory content, examination scenarios, examiner responses, and compliance Q&A answers provided by the platform are for general educational and training purposes only. They do not constitute legal advice, legal opinions, or guidance that can be relied upon as authoritative statements of law.
Cannabis law is complex, rapidly changing, and varies significantly by state, county, and municipality. Regulations may have changed since our content was last updated. The platform's interpretation of any statute, rule, or regulation may be incomplete, imprecise, or incorrect.
Completing examinations on this platform does not guarantee compliance with applicable law, does not satisfy any specific legal training requirement, and does not create an attorney-client relationship between you and SocraticHQ.

Specifically, and without limitation, the platform makes no representation that:
To use the platform, compliance managers must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
Compliance managers may invite employees to the platform. By inviting employees, you represent that you have authority to provide their email addresses to us and that doing so complies with applicable law.
You must notify us immediately at the contact address below if you believe your account has been compromised. We are not liable for losses caused by unauthorized account access that results from your failure to maintain credential security.
You must be at least 18 years old and legally authorized to work in the United States to use this platform. The platform is intended for use by licensed cannabis businesses and their employees in jurisdictions where cannabis is legally permitted.
You agree to use the platform only for lawful purposes and in accordance with these Terms. You agree not to:
We reserve the right to suspend or terminate accounts that violate these acceptable use terms without prior notice.
You retain ownership of any content you upload to the platform, including employee handbooks, internal policies, and other documents ("Your Content"). By uploading content, you grant SocraticHQ a limited license to use, store, and process Your Content solely for the purpose of providing the platform's services to you.
You represent and warrant that:
We do not use Your Content to train AI models. We process Your Content solely to provide examination and Q&A services within your account.
The platform uses artificial intelligence to conduct examinations and generate responses. AI systems, including those used by DispensaryExam, have inherent limitations:
By using the platform, you acknowledge these limitations and agree not to rely on AI-generated content as a substitute for qualified legal counsel or direct review of applicable regulations.
You are solely responsible for ensuring that your dispensary and its employees comply with all applicable federal, state, and local laws and regulations, including but not limited to:
The platform is a training and assessment tool. It does not replace your obligation to independently verify regulatory requirements, obtain qualified legal advice, and implement compliant operational policies.
SocraticHQ expressly disclaims any responsibility for regulatory violations, enforcement actions, license suspensions or revocations, fines, penalties, or other consequences arising from your reliance on the platform's content.
Access to the platform is provided on a subscription basis. Current pricing is available on our website. By subscribing, you authorize us to charge your payment method on a recurring basis at the then-current rate.
During the current pilot phase, access may be provided at no charge to selected participants. Pilot participants agree that the platform is provided "as-is" for evaluation purposes and that SocraticHQ may convert pilot accounts to paid subscriptions with advance notice.
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods except where required by law.
We may change subscription pricing with at least 30 days' advance notice to active subscribers. Continued use of the platform after a price change takes effect constitutes acceptance of the new pricing.
Either party may terminate these Terms at any time. We may suspend or terminate your access immediately, without prior notice, if we determine that you have violated these Terms, engaged in fraudulent activity, or if required to do so by law.
Upon termination, your right to access the platform ceases immediately. You may request a copy of your examination records within 30 days of termination. After 90 days, we may permanently delete your account data.
Sections 3, 7, 8, 11, 12, 13, and 14 of these Terms survive termination.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY LAW, SOCRATICHQ DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT: (A) THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) ANY DEFECTS WILL BE CORRECTED; (C) THE PLATFORM OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; (D) THE REGULATORY CONTENT IS ACCURATE, COMPLETE, OR CURRENT; OR (E) THE RESULTS OF USING THE PLATFORM WILL MEET YOUR REQUIREMENTS.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOCRATICHQ, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:
Loss of profits, revenue, data, or business; regulatory fines or penalties; license suspension or revocation; costs of substitute services; or any other commercial or economic loss arising out of or related to your use of the platform — even if SocraticHQ has been advised of the possibility of such damages.
IN NO EVENT SHALL SOCRATICHQ'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO SOCRATICHQ IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
You agree to defend, indemnify, and hold harmless SocraticHQ and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses — including reasonable attorneys' fees — arising out of or relating to:
These Terms are governed by the laws of the State of Ohio, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the platform shall first be submitted to good-faith informal negotiation. If the dispute cannot be resolved informally within 30 days, it shall be submitted to binding arbitration in Columbus, Ohio under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.
You agree to resolve disputes with SocraticHQ only on an individual basis and not as part of any class, consolidated, or representative action.
We may update these Terms at any time. When we make material changes, we will notify you by email and by posting a notice on the platform at least 30 days before the changes take effect. Your continued use of the platform after the effective date constitutes acceptance of the updated Terms.
If you do not agree to updated Terms, you must stop using the platform before the effective date of the changes.
